Terms of Service

These Terms of Service ("Terms") govern access to and use of websites, software, portals, communications, and other services provided by Jackson Hill Capital Group LLC, doing business as Jackson Hill Capital ("Jackson Hill Capital," "JHC," "we," "us," or "our"). By accessing or using our services, you agree to these Terms.
1. Commercial-purpose services only
JHC provides commercial real estate mortgage intermediary, loan-processing, information-management, and lender-routing services for business and investment purposes only. JHC does not offer consumer, personal, family, or household-purpose credit products.
2. JHC is not the lender
JHC does not extend credit in its own name, is not the lender of record, does not fund or close loans, and does not service loans. Financing is offered, approved, denied, funded, closed, and serviced, if applicable, by independent third-party lenders or their agents. Nothing on our platform is a commitment by JHC or any lender to make a loan.
JHC may decide whether a request is complete, satisfies JHC validation or program parameters, will be processed or presented, or appears to match stated lender criteria. Those JHC processing decisions are not a lender's decision to extend or deny credit. Each lender independently determines whether to offer credit and establishes loan amount, pricing, structure, collateral, covenants, conditions, approval, closing, and funding.
3. No guarantee of financing or terms
Submission of information to JHC does not guarantee that a financing request will be accepted, routed to any particular lender, approved, or closed. Interest rates, fees, loan amounts, collateral requirements, covenants, underwriting standards, closing conditions, and all other financing terms are determined by applicable lenders and may change before closing.
4. Eligibility and authority
You must be at least 18 years old and have legal capacity to use our services. If you use the services on behalf of a company, partnership, trust, borrower, lender, brokerage, or other organization, you represent that you are authorized to act for that organization and bind it to these Terms where applicable.
5. Accurate information and documents
You agree to provide complete, current, and accurate information and documents and to promptly correct material changes or errors. You may submit only information and documents that you are authorized to provide. JHC and participating lenders may rely on submitted information when evaluating or processing a financing request.
Automated extraction, calculations, summaries, classifications, or other system-generated outputs may contain errors or omissions. You remain responsible for reviewing information presented for your confirmation and promptly identifying material errors. If a system-generated output conflicts with an underlying source document, the source document controls unless it has been validly corrected or superseded.
6. Identity, fraud, compliance, and credit-related checks
You authorize JHC to perform identity, fraud-prevention, sanctions, compliance, and other verification checks reasonably related to the services. Where permitted by law and separately authorized, JHC may obtain consumer reports or other credit-related information concerning natural-person borrowers, guarantors, sponsors, principals, or beneficial owners. Third-party verification providers, including Persona, may process information on JHC's behalf.
Nothing in these Terms constitutes any separate authorization, certification, disclosure, consent, or release required under the Fair Credit Reporting Act, a biometric privacy law, or other applicable law where a separate instrument or affirmative action is required.
7. Lender matching, routing, and distribution
JHC may internally evaluate a financing request against lender eligibility criteria and identify potentially qualified independent lenders. JHC will submit or distribute financing-request information to a prospective lender only after the applicable borrower or authorized representative has completed any submission, distribution, or information-sharing authorization required by JHC, unless disclosure is otherwise authorized or required by law.
Lenders are separate businesses and are responsible for their own underwriting, credit, pricing, regulatory, notice, and closing decisions. JHC is not responsible for a lender's acts, omissions, decisions, products, or services, except to the extent responsibility cannot lawfully be excluded.
8. Automated and AI-assisted processing
JHC may use automated systems and artificial-intelligence-assisted tools to extract, classify, organize, calculate, compare, validate, analyze, and summarize information; identify inconsistencies or missing items; derive underwriting metrics; flag exceptions; assess completeness or eligibility; and assist with lender matching and routing.
These tools support JHC's processing and analysis and may produce incomplete or inaccurate outputs. They do not provide legal, tax, accounting, appraisal, engineering, environmental, or other professional advice, and they do not make an independent lender's decision whether to extend credit or determine the final terms of credit. JHC may use personnel to review, validate, or act on system outputs as appropriate to the relevant workflow.
9. Fees
Any fee payable to JHC will be governed by a separate written fee agreement or other transaction-specific disclosure. Unless otherwise stated in that agreement, no website content changes, waives, or replaces the terms of a signed fee agreement.
10. Electronic communications and signatures
You consent to receive communications, disclosures, notices, and records electronically at the contact information you provide, subject to applicable law. Electronic acknowledgments and signatures may be used where legally permitted. You are responsible for keeping your contact information current. A legally required separate consent to electronic records or signatures is not replaced by these Terms.
11. Account security
You are responsible for safeguarding account credentials and for activity conducted through your account. Notify JHC promptly if you suspect unauthorized access, credential compromise, or misuse. We may suspend access when reasonably necessary to protect users, data, counterparties, or the integrity of the services.
12. Acceptable use
You may not use the services to violate law; impersonate another person; submit fraudulent, stolen, malicious, or unauthorized information; interfere with platform security or availability; probe or exploit vulnerabilities without written authorization; scrape or harvest data in violation of law or contract; or use the services for consumer-purpose lending or any transaction prohibited by JHC policy.
13. Intellectual property
The JHC services, software, designs, workflows, text, graphics, trademarks, and other materials are owned by or licensed to JHC and are protected by applicable intellectual-property laws. Except for the limited right to use the services as authorized, these Terms do not grant you ownership of JHC intellectual property.
14. Privacy
Our collection, use, and disclosure of personal information is described in our Privacy Policy. The Privacy Policy is a notice of JHC's data practices; it is not a substitute for a transaction-specific authorization, consent, release, or agreement.
15. Service availability and changes
We may modify, suspend, or discontinue features or services, subject to applicable contractual obligations. We do not guarantee uninterrupted, error-free, or continuously available service.
16. Disclaimers
To the maximum extent permitted by law, the services are provided on an "as is" and "as available" basis. JHC does not provide legal, tax, accounting, investment, appraisal, engineering, environmental, or other professional advice. Users should consult their own advisers. JHC makes no warranty that any lender will approve or close a financing request or that any particular financing outcome will occur.
17. Limitation of liability
To the maximum extent permitted by law, JHC and its affiliates, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, opportunities, or goodwill, arising from or relating to the services. Any additional limitations applicable to a transaction may be stated in a separate written agreement.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JHC and its affiliates, officers, employees, and agents from claims, losses, liabilities, and expenses arising from your material breach of these Terms, unlawful use of the services, or submission of information or documents you were not authorized to provide.
19. Suspension and termination
We may suspend or terminate access for material breach, suspected fraud, security risk, unlawful activity, nonpayment under an applicable agreement, or where required to comply with law. Provisions that by their nature should survive termination will survive.
20. Governing law
These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any transaction-specific agreement may contain different dispute-resolution or governing-law provisions, and that agreement will control for the matters it covers.
21. Changes to these Terms
We may update these Terms from time to time. We will post the revised version with a new effective date and provide additional notice when required by law. For a material change, JHC may require affirmative acceptance before continued use of affected services where appropriate or legally required. Continued use after an update becomes effective constitutes acceptance only to the extent permitted by law.
22. Order of precedence
If documents governing the same subject conflict, the more specific instrument controls that subject. Unless a signed instrument expressly provides otherwise, the intended order is: (1) a transaction-specific signed agreement or disclosure; (2) an applicable master lender, confidentiality, data-protection, or non-circumvention agreement; (3) a specific authorization, consent, or release; (4) these Terms; and (5) the Privacy Policy as a disclosure of data practices. No lower-ranking document expands the scope of an authorization, consent, or release contained in a higher-ranking or more specific instrument.
